Terms and Conditions

  1. Services Provided:
    • This agreement outlines the hosting services to be provided by [Apex Cloud Development] (referred to as "Provider") to the client (referred to as "Client").
  2. Hosting Services:
    • The Provider agrees to provide hosting services for the Client's website as outlined in the hosting plan, including but not limited to server space, bandwidth, and technical support.
  3. Fees and Payment:
    • The Client agrees to pay the specified fees for the hosting services.
    • Fees may be subject to change upon mutual agreement with prior notice.
    • If the client fails to submit payment within 7 days, a 2% additional fee will be imposed, which will be recurring on a monthly basis until the outstanding payment is settled.
    • The client reserves the right to cancel the agreement at any time. If the client is on an annual plan, they may cancel the agreement within 3 days prior to the renewal date, exempting them from paying the upcoming invoice and associated services.
    • If the client requires a hosting transfer out of the Hosting provider’s account, fees may apply depending on the hours worked to accomplish the task. Minimum $50 dollar fee to transfer.
  4. Duration:
    • This agreement is valid from the [Start Date] and will continue on a [Renewal Term] basis unless terminated by either party with [Notice Period] days' written notice.
    The [Start Date] is when the client pays and agrees to terms and conditions.
    The [Renewal Term] can be a monthly or annual plan, this follows the format of the plan selected by the client.
    The [Notice Period] are the days agreed to within the contract.
  5. Client Responsibilities:
    • The Client is responsible for uploading and managing their website files and content.
    • The Client will comply with any usage policies and guidelines provided by the Provider.
  6. Provider Responsibilities:
    • The Provider will ensure the server is operational and accessible to the best of their abilities.
    • The Provider will provide technical support to address server-related issues.
    • The Service Provider will maintain the confidentiality of all information provided by the Client.
  7. Limitation of Liability:
    • The Provider will not be liable for any damages arising from server downtime, data loss, or any other issues related to hosting services.
    • The Service Provider will not be liable for any damages arising from disruptions in website service, data loss, or any other issues resulting from maintenance activities.
    • The Service Provider will not be liable for any losses incurred by the Client's business due to changes made during maintenance.
  8. Uptime and Downtime:
    • The Provider strives to maintain high server uptime, but occasional downtime for maintenance and unforeseen events is possible.
    • The Provider will not be liable for any losses incurred due to server downtime.
  9. Data Security:
    • The Provider will take reasonable measures to protect client data on the server.
    • The Client is responsible for maintaining backups of their website and data.
  10. Termination:
    • Apex party may terminate this agreement with [0] days' written notice.
    • Client party may terminate this agreement with [3] days' written notice,
    • If, in any unforeseen circumstance, the client decides to terminate the agreement, they will not be able to recover any payments.
    • Upon termination, the Service Provider will provide the Client with all necessary website files and materials.
  11. Intellectual Property:
    • The Client retains ownership of their website content and materials hosted on the server.
  12. Acceptable Use:
    • The Client agrees not to use the hosting services for illegal, unethical, or harmful activities.
    • The Provider reserves the right to suspend or terminate services for violations.
  13. Governing Law:
    • This agreement will be governed by and construed in accordance with the laws of [New York].
  14. Entire Agreement:
    • This document constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
  15. Liability Protection and Security
    • Apex Cloud Development is committed to taking all necessary measures to ensure the utmost security and protection of client information. However, in the unfortunate event that client information is compromised, Apex Cloud Development cannot be held responsible for data loss, viruses, or any other compromises experienced by the client.
